Read the text below before commissioning me.
Terms and Conditions
This Terms of Service Agreement ("Agreement") is entered into between Starry_Skyes ("Artist") and you as the commissioner ("Client") for the commission of an artwork ("Work"). By commissioning the Artist, the Client agrees to the following terms;;
1. General
1.1 Client agrees that the inclusion of Signing and Watermarks is non-negotiable.
1.2 Client provides clear and complete requirements and expectations up front, including reference materials or assets, before the Work begins.
1.3 Client grants to the Artist non-exclusive rights to observe and replicate Client's own character design and reference material for the use of the Work.
1.4 Client warrants that the character design and reference material provided to the Artist are legally obtained and authorised for use by the Client.
1.5 Client warrants that they have the authority to enter this Agreement, be the point of contact, and are solely responsible for decisions and approval during the process.
1.6 Artist strives to perform to the best of their ability in good faith and warrants that Work is 100% original according to Artist's best knowledge.
1.7 Artist may use commercially licensed, copyright-free, and/or educational materials, assets, and/or tools.
1.8 Artist warrants that they will not copy or heavily reference unauthorised materials.
1.9 Artist reserves the right to refuse projects or requests based on content, subject, or other reasons.
1.10 Artist defines the scope of work, features, price, deliverables, and other details for the project in a proposal in a format according to Artist discretion, which may include a private message through Discord, VGen platform, Ko-fi platform, or Email. The details set forth by the Artist shall be agreed upon by the Client before work begins.
2. Payments
2.1 Client agrees that the prices are in EUR, and are paid via VGen, Ko-fi, or PayPal, depending on the site that is used to order.
2.1a Client pays 50% on start of work and 50% when the first sketch is delivered.
2.1b Client pays full price before progress on work is made.
2.2 Client agrees that once work has begun or payments have been made, the Client knows that what they will receive is what was stated in the proposal made by the Artist. Deliverables may include Digital Artwork and Links to Wooacry for private ordering.
3. Revisions
3.1 Client acknowledges that they are allowed one major revision in the sketching phase.
3.2 Client agrees that all revisions in the line-art phase are minor.
3.3 Client is aware that excessive revisions may require additional charges.
3.4 Client acknowledges that revisions affect progress and timeline.
3.5 Artist may implement revisions at their own discretion, in case of mistakes. Client will not be charged additionally.
4. Deadlines and Delivery
4.1 Client and Artist agree on the timeline of the work.
4.2 Client acknowledges that the timeline of work depends on commission type, complexity, and the existing workload of the Artist.
4.3 Client must agree to delays and adjustments to the timeline exceeding the agreed time through standard communication channels.
4.4 Client may request progress updates every three days, as long as Client keeps in mind the integrity and work times of Artist.
4.5 Artist is not responsible for the deadlines of the Client if not discussed before the Artist accepts work.
4.6 Artist provides progress updates and seeks Client feedback voluntarily.
4.7 Artist will deliver deliverables via the commissioned platform, and will either be a .PNG, .MP4, .GIF, or a Wooacry Share code for the client to order themselves.
4.8 Artist is not responsible for issues or mistakes with printing or shipping through Wooacry. Reach out to Wooacry Support instead.
5. Intellectual Property Rights
Client Rights
5.1 Client receives exclusive, non-transferable rights to the Work for personal use.
5.2 Client acknowledges that only the following falls under personal use: display on social media for promotional purposes with no direct monetization such as as profile pictures, banners and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels.
5.3 Client must not claim work as their own and must credit Artist using their social tag/username/link at the instance of display of the work or permanently on their webites, social media profiles, broadcast channels and so on.
5.4 Client is not allowed to edit or modify the work in any way without prior permission from the Artist.Artist Rights
5.5 Artist retains copyright, ownership, redistribution and intellectual property rights, which includes but is not limited to display, advertising, printing the work and work in progress on websites, social media, portfolios, public broadcast channels and more.Commercial Rights
5.6 Client agrees that these rights are not included unless specified in the comission type, or listing on the Artist's websites.
5.7 Client understands that commercial rights encompass usage of the work in any monetized instances, selling the artwork as a product to another party.
5.8 Client agrees that usage of work for AI (artificial intelligence) tools: platforms of programs; ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.
6. Refund Policy
Client-side Refunds
6.1 Client breaks off the agreement before the first sketch is delivered. Artist owes full refund if no work has been done, but may keep a portion up to 25% if work has been done.
6.2 Client breaks off the agreement after the first sketch has been delivered and approved by client. Artist owes Client 50% as a refund.
6.2a if Client refuses to accept the first sketch just to break off the agreement within 5 days, they are only owed 25% of what they already paid.Artist-side Refunds
6.3 Artist breaks off the agreement for any reason, Client is eligible for a full refund.Non-refundable Situations
6.3 Client behaves in an unprofessional and inappropiate manner with Artist. This includes, but is not limited to, harrasment, insults, or inappropiate speech to the work or Artist themselves.
7. Communication
7.1 as stated in section 1.10, Artist will communicating through the stated platforms, and responses may take up to a week.
8. Acceptance
8.1 Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.
8.2 Agreement starts from the first transaction, unless stated otherwise.
